Overview

ViaPath is currently seeking a Senior Corporate Counsel to join our growing team.  As the Senior Corporate Counsel, you will provide high-quality, complex, solution-oriented legal services. Collaborate closely with the legal team, and internal business units to develop strategies and priorities, then work independently to implement those decisions without the need for excessive oversight. Assist with advising senior management, assist with rapid corporate growth. Ensure all business operations comply with all applicable laws and regulations.

 

Hybrid opportunity.  Position will be based in the Falls Church, VA, headquarters office 4 days per week.

Responsibilities

  • Provide customer and vendor contract review, guidance on risk management and mitigation across the Enterprise
  • Assist in submission of responses to RFPs from facility customers
  • Assist with claims/litigation management, including coordination with insurance carriers, outside counsel, document production, strategy options, and lessons learned
  • Assist in preparation and review of public disclosures and SEC and other reporting requirements
  • Develop training materials and provide training as assigned
  • Provide legal services concerning procurement and contracting laws, rules, policies and procedures, privacy/data security and intellectual property matters
  • Engage and manage outside counsel as necessary in support of the above-listed functions
  • Be creative, attentive, and willing to learn from clients living and breathing many different aspects of the Enterprise
  • Advise and coordinate with internal clients not only on today’s risk but also anticipating future risk and helping them be prepared
  • Travel as necessary to better understand client’s operational framework and needs
  • Draft, update and maintain policies as necessary
  • Contribute significantly and positively to the development of the Legal Department
  • Be aligned with the vision and mission of the Legal Department to ensure consistent messaging and risk tolerance

Qualifications

  • Juris Doctorate from an accredited law school required
  • Minimum of 7 years of in-house legal experience or law firm experience
  • Hands-on legal experience with general corporate law, technology, finance, privacy compliance and related regulatory issues, with previous SEC-related and/or IP experience preferred
  • Experience managing a variety of projects and tasks simultaneously on-time and within financial budgets
  • Demonstrated pattern of collaborating, teamwork, giving and receiving direct feedback, and being motivated to constantly improve all aspects of in-house practice
  • Actively seeks information about situations; strives to understand the rationale and implications for changes
  • Strong contract negotiation skills
  • Demonstrated ability to communicate concisely and candidly
  • Strong sense of and commitment to ethics and compliance
  • Strong communication skills, including an ability to provide succinct advice to Senior Management
  • Excellent interpersonal skills and flexibility
  • Licensed and in good standing in at least one State Bar
  • In-house experience at a public company strongly preferred
  • Proficient with various Microsoft Office software such as Word, Excel and PowerPoint
  • Limited travel - must be able and willing to travel up to 10%
